Can I refuse to sign a settlement agreement?

Yes. Signing is always your choice, never a requirement. Here's what actually happens if you say no.

What happens if you don't sign a settlement agreement?

Nothing is forced on you. An unsigned settlement agreement simply doesn't take effect, and the situation reverts to whatever it would otherwise be: you generally remain employed, and any formal process your employer had paused. A redundancy consultation, a disciplinary or capability process. Would normally continue or restart. You also keep the right to bring or continue any legal claim you might have.

Why might an employer not withdraw the offer?

Refusing a reasonable offer doesn't usually make your position worse on its own. Employers offer settlements because they want certainty and want to avoid a tribunal claim. Those reasons don't disappear if you decline a first offer, and it's common for a revised offer to follow.

When does refusing a settlement agreement make sense?

  • The payment doesn't reflect the strength of your position, and there's room to negotiate
  • You'd rather pursue a claim through the employment tribunal, having weighed the risks and likely outcome with a solicitor
  • The non-financial terms. References, confidentiality, restrictive covenants. Aren't acceptable and can't be improved

When is it worth thinking twice before refusing a settlement agreement?

  • The offer is genuinely fair for your circumstances, and a tribunal claim would carry real cost, time and uncertainty for an uncertain gain
  • You want to move on quickly, and a tribunal process (which can take many months) doesn't suit your situation

Will refusing to sign make my employer angry or vindictive?
It shouldn’t change your legal protections either way. Treating you unfairly because you declined a settlement offer or sought advice could itself be a problem for your employer. Keep records if you’re ever concerned about this.
Can I negotiate instead of outright refusing?
Yes, and this is usually the more common outcome. Most people don’t simply accept or refuse, they negotiate the terms first with the help of their solicitor.
Do I lose anything by not signing straight away?
Generally no. Taking reasonable time to consider your options, including the ACAS-recommended 10 days, doesn’t cost you anything and is exactly what the process is designed to allow.
